Terms of Service

By installing Auto-PreOrder on your Shopify store, you agree to these Terms of Service. Please read them carefully. If you do not agree, do not install or use the App.

1. The service

Auto-PreOrder ("the App", "the Service") is a Shopify application that automatically activates pre-order mode on products when their inventory reaches a configurable threshold, replacing the "Sold Out" button with a customisable "Pre-Order" button on your storefront.

2. Eligibility

To use Auto-PreOrder you must:

  • Have an active Shopify store
  • Be legally authorised to enter into binding agreements on behalf of the store
  • Comply with Shopify's Partner Program Agreement and Shopify's Terms of Service

3. Plans and subscription

3.1 Free plan

The Free plan is available at no cost and includes:

  • Up to 10 pre-order activations per calendar month
  • Access to all App features (settings, analytics, custom text)
  • No credit card required

The activation quota resets on the 1st of each calendar month. Once the limit is reached, automatic pre-order activation is suspended for the remainder of the month. Manually toggled products are unaffected.

3.2 Pro plan

The Pro plan is available for $19.00 USD per month and includes:

  • Unlimited pre-order activations
  • All features included in the Free plan
  • Priority email support

The Pro plan is billed monthly via Shopify's Billing API. By subscribing, you authorise Shopify to charge your payment method on file on a recurring monthly basis.

4. Billing

All billing is processed by Shopify Payments on our behalf through the Shopify Billing API. We do not directly handle, store, or process your payment card information.

  • Charges are billed in advance at the start of each 30-day billing period
  • Prices are in US dollars (USD)
  • Shopify may charge applicable taxes depending on your location
  • Billing is subject to Shopify's Terms of Service

5. Cancellation and refunds

5.1 Cancellation

You may cancel your Pro subscription at any time by uninstalling the App from your Shopify admin panel. Cancellation takes effect immediately. You will not be charged for future billing periods after uninstallation.

Shopify may prorate or not prorate your final billing period according to their standard policies. We have no control over Shopify's billing proration.

5.2 Refunds

Due to the nature of software subscriptions:

  • Charges are generally non-refundable once processed
  • If you believe you were charged in error, contact us at cdurbal@gmail.com within 7 days of the charge
  • We will review your request and, at our discretion, issue a refund for the unused portion of the billing period
  • Refund requests outside the 7-day window will not be honoured

6. Acceptable use

You agree not to use the App to:

  • Violate any applicable laws or regulations
  • Violate Shopify's Terms of Service or Partner Program Agreement
  • Attempt to reverse-engineer, decompile, or extract the source code of the App
  • Interfere with or disrupt the App's infrastructure or Shopify's systems
  • Use the App for any purpose other than managing pre-order functionality on your own Shopify store

7. Intellectual property

The App, including its code, design, and documentation, is the intellectual property of the developer. These Terms do not grant you any ownership rights in the App. You are granted a limited, non-exclusive, non-transferable licence to use the App on your Shopify store for the duration of your subscription.

8. Availability and modifications

We aim to maintain the highest possible availability of the App but do not guarantee uninterrupted service. We reserve the right to:

  • Modify, update, or discontinue features with reasonable notice
  • Perform scheduled or emergency maintenance that may temporarily interrupt service
  • Change pricing with at least 30 days' notice (existing subscribers will be notified via the App dashboard)

9. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The App will meet your specific business requirements
  • The App will be error-free or uninterrupted
  • Any errors will be corrected within a specific timeframe
  • Results obtained through the App (e.g. recovered revenue) will meet any particular target

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability for any claims arising under these Terms shall not exceed the total amount paid by you to us in the three (3) months immediately preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless the developer from any claims, damages, losses, and expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

12. Third-party services

The App depends on Shopify's platform. We are not responsible for Shopify's availability, pricing changes, API modifications, or policy changes that may affect the App's functionality.

13. Governing law

These Terms are governed by the laws of France. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of France, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

14. Changes to these terms

We may update these Terms from time to time. We will notify you of significant changes via the App dashboard. Continued use of the App after the updated Terms take effect constitutes acceptance. If you do not agree to the updated Terms, you must uninstall the App.
